Global Business Company
A Global Business Company (GBC) is incorporated and registered under the Companies Act 2001 and licensed by the Financial Services Commission. A GBC is resident in Mauritius for tax purposes and can benefit from various non double taxation treaties which Mauritius has entered into with several countries. In order to obtain treaty benefits, the company must establish its tax residency in Mauritius and must demonstrate that central management and control of the company is located in Mauritius by complying with the below criteria:
- Has at least two resident directors of sufficient calibre to exercise independence of mind and judgement and as well as provides for meeting of directors to include the two resident directors from Mauritius.
- Maintains at all times its principal bank account in Mauritius.
- Keeps and maintains, at all times its accounting records at its registered office in Mauritius.
- Prepares its statutory financial statements and causes such financial statements to be audited in Mauritius.
A GBC shall be managed from Mauritius by carrying its Core Income Generating Activity (CIGA) in or from Mauritius by having a minimum level of expenditure which is proportionate to its level of activities and employing directly or indirectly, an adequate number of suitably qualified persons to conduct its CIGA.
Taxation:
- No withholding tax on dividends;
- No capital gains tax;
- 15% corporate income tax but with the 80% partial exemption regime on certain income streams and regulated entities, it is reduced to 3%
